Company Incorporation & Corporate Legal Services

Corporate legal administration from incorporation through annual obligations, helping your business stay organized and compliant.

We handle the incorporation of PT, Individual PT, and CV entities, including NIB and corporate tax ID, as well as shareholder meetings and corporate data changes. Deeds are prepared with our partner notary while Balancio manages the documentation and follow-up.

Choose Your Business Entity

PT (Limited Liability Company)

A legal entity with at least two founders. Shareholders’ liability is limited to their paid-in capital. A common choice for businesses that plan to grow and attract investors.

Individual PT

A single-founder legal entity specifically for micro and small businesses. It is established through a statement of establishment without a notarial deed.

CV (Limited Partnership)

Not a legal entity. Active partners bear full liability, including personal assets, while passive partners’ liability is limited to their contributed capital.

What is the difference between an Annual and Extraordinary General Meeting of Shareholders?

The Annual General Meeting must be held no later than 6 months after the financial year ends, including to approve the annual report. An Extraordinary General Meeting can be held at any time as needed, for example to replace directors or increase capital.

Must a shareholders’ meeting be held in person?

Not always. A shareholders’ meeting may be held electronically or replaced by a circular resolution approved in writing by all shareholders.

Can an Individual PT be converted into a regular PT?

Yes. An Individual PT must convert to a regular PT when it has more than one shareholder or the business no longer meets the micro and small business criteria.
